End User License Agreement (EULA)

This End User License Agreement (EULA) is a legal agreement between you (the "End User") and VALDI LABS, PBC (the "Licensor"). By installing, using, or accessing the VALDI LABS, PBC website (the "Software"), you agree to be bound by the terms of this EULA.

1. Grant of License

The Licensor grants you a non-exclusive, non-transferable, limited license to use the Software for your own personal, commercial, or academic use. You may not modify, copy, distribute, or sell the Software.

2. Restrictions

You may not use the Software for any illegal or unauthorized purpose. You may not use the Software to harm or exploit others. You may not use the Software to collect or store personal information about others.

3. Termination

The Licensor may terminate this EULA at any time for any reason. Upon termination, you must cease all use of the Software.

4. Disclaimer of Warranty

The Software is provided "as is" and the Licensor makes no representations or warranties, express or implied, about the Software. The Licensor does not warrant that the Software will be error-free or that it will meet your requirements.

5. Limitation of Liability

In no event shall the Licensor be liable to you for any damages, including, but not limited to, direct, indirect, incidental, special, or consequential damages, arising out of or in connection with the Software.

6. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Delaware.

7. Entire Agreement

This EULA constitutes the entire agreement between you and the Licensor and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

8. Severability

If any provision of this EULA is held to be invalid or unenforceable, such provision shall be struck from this EULA and the remaining provisions shall remain in full force and effect.

9. Waiver

No waiver of any provision of this EULA shall be effective unless in writing and signed by both parties.

10. Notices

All notices and other communications under this EULA shall be in writing and shall be deemed to have been duly given when delivered via email, as follows:

If to the End User: The email address provided by the End User to the Licensor during the registration process.

11. Headings

The headings in this EULA are for convenience only and shall not affect its interpretation.

12. Counterparts

This EULA may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
